Terms of Sale & License

These terms are between you and Interapp Development, Inc. ("LymeStack", "we"), 5616 Belle Aire Rd, East New Market, MD 21631, USA, the provider of LymeScribe.

Availability

LymeScribe is offered for sale in the United States only. Checkout is restricted to U.S. customers, and the software is intended for use under United States law.

The product

LymeScribe is a macOS application for voice dictation and audio transcription that runs speech models on your own hardware. Using the app as a client (connecting to a LymeScribe server that you or your organization operate) is free. A paid Host unlock enables hosting transcription on your own Mac, including serving a small number of devices on your local network. LymeScribe Server for offices is a separate, deferred product (Technology Preview) — licensed independently; contact us.

Purchases and billing

Orders are processed by Paddle.com, acting as merchant of record. Paddle handles checkout, payment, applicable sales tax/VAT, and order receipts, under Paddle's buyer terms. Prices are shown at checkout in your local currency where supported.

The Host unlock is a one-time purchase — not a subscription. Nothing renews and no further charges occur.

License grant

• The Host unlock permits activation on up to 2 Macs that you own or control, for personal or internal business use.
• It permits serving a small number of client devices on your local network, per the in-app limits.
• You may not resell, sublicense, or distribute the software or your license key, or use one Host unlock to provide transcription as a service to third parties.
• Except to the extent this restriction is prohibited by applicable law, you may not reverse-engineer, decompile, or disassemble the software, or attempt to derive its source code or defeat its license enforcement.
• You can deactivate a machine and move your license to a new one at any time; if a machine dies, contact support and we'll reset the activation.

Trial

Hosting features include a 7-day free trial with full functionality. When the trial ends, hosting locks until a license is purchased; client mode continues to work free of charge.

Refunds

Every purchase carries a 30-day money-back guarantee, measured from the date of purchase. See the refund policy.

Termination

This license terminates automatically if you breach its terms — in particular the restrictions above. On termination, your Host unlock is revoked and hosting features lock; using the app as a free client is unaffected. A refund likewise revokes the associated license (see the refund policy). These terms' warranty, liability, and acceptable-use provisions survive termination.

Updates and support

Updates are delivered through the app's built-in updater. Your Host unlock covers the major version you purchased and is perpetual — it does not expire. Point and minor updates within that major version are included at no extra charge. When a future major version ships, existing license holders can upgrade at a discounted price; you are never required to pay full price or lose your license. We intend to keep improving LymeScribe, but a license purchase entitles you to the software as delivered plus updates we make available for it — it is not a promise of specific future features. Acceptable use

You are responsible for complying with laws that apply to your recordings — including obtaining any consent required to record other people. Don't use the software to infringe others' rights.

Disclaimer of warranties

You acknowledge that automatic transcription makes mistakes; you are responsible for reviewing output before relying on it, especially in medical, legal, or other safety-critical contexts. The software is not intended for use in situations where an error, inaccuracy, or delay in the content it produces could lead to death, personal injury, or severe physical, financial, or environmental damage.

To the maximum extent permitted by applicable law, the software is provided "as is" and "as available," with all faults and without warranty of any kind. LymeStack disclaims all warranties and conditions, whether express, implied, or statutory, including but not limited to the implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, and non-infringement of third-party rights. LymeStack does not warrant that the software will meet your requirements, that its operation will be uninterrupted or error-free, or that defects will be corrected.

Limitation of liability

To the maximum extent permitted by applicable law, in no event will LymeStack be liable for any indirect, incidental, special, consequential, or exemplary damages whatsoever, including but not limited to damages for lost profits, loss of goodwill, corruption or loss of data, business interruption, or any other commercial damages or losses, arising out of or related to your use of or inability to use the software, however caused and regardless of the theory of liability (contract, tort, or otherwise), even if LymeStack has been advised of the possibility of such damages.

In no event will LymeStack's total aggregate liability arising out of or related to the software or these terms exceed the greater of the amount you actually paid for your license or twenty U.S. dollars ($20.00). The foregoing limitations apply even if a remedy fails of its essential purpose.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, or fraud, for death or personal injury caused by negligence, or any non-waivable rights you have under mandatory consumer-protection law. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so some of the above limitations may not apply to you.

Third-party components

LymeScribe builds on open-source software, including the whisper.cpp inference engine and openly released speech models. Their licenses are acknowledged in the app and listed on the open-source licenses page.

Privacy

Our handling of personal data is described in the privacy policy.

Governing law

These terms are governed by the laws of the State of Maryland, United States, without regard to conflict-of-laws rules, and the state and federal courts located in Maryland have exclusive jurisdiction over disputes arising from them. This License is not governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. Nothing in this clause removes any mandatory rights or protections you have under the consumer-protection law of your state of residence.
